ACCEPTANCE OF TERMS AND CONDITIONS:
These Terms and Conditions of Sale and Delivery (“Agreement“) govern all sales and deliveries by Legend of ASIA, Inc. DBA Legend Accents (Legend of ASIA, Legend Accents or We) to the customer (“Buyer” or “you”). All other terms and conditions, including, without limitation, those terms and conditions contained in any purchase order(s) which are different from, in addition to, conflict with, or that vary the terms hereof are hereby rejected and shall not be binding on Legend of ASIA unless specifically accepted in writing. Acceptance of Buyer’s order is conditioned upon Buyer’s acceptance of the terms contained herein.
We sell to wholesale trade only. By registering on our website and submitting an order, you are warranting that you are a valid home furnishing retail business ("Stocking Dealer") or a licensed interior designer (“Designer”), that you have your state issued resale permit/certificate to make wholesale tax-exempt purchases for resale, and that you agree to be bound by this Agreement. Stocking Dealers: For new stocking dealer customers, we require a single $500 minimum order amount for your brick & mortar store or showroom. There is no minimum order amount requirement for Designer customers.
- Stocking Dealer (SD)
Brick and mortal home furnishing retail front opens to the public buying for stock to resale.
Opening order minimum is $1500 and re-order minimum is $500.
If the reorder minimum is not met, a 10% small order fee minimum at $10 applies.
Order ship to address must be the store address or receiving warehouse.
Direct shipment to residential and less than order minimum will incur 10% dropship surcharge
- Designer / Non Stocking Dealer (DSR / NSD)
Independent interior designer or design firm purchasing for projects.
Need to have valid business license or resale certificate.
No minimum order amount requirement.
- Dropship Partners (DropSD)
Home furnishing related Ecommerce website or marketplace have fair presentation of Legend Accents products and branded as Legend Accents or Legend of ASIA.
Have valid payment method on file with Legend of ASIA.
All orders are prepaid, the balance plus any taxes and/or freight cost will be due prior to pick & pack. We accept all major credit cards, bank checks and wire transfers.
RIGHT TO CANCEL:
To cancel this Agreement or order, you must notify us in writing within seven (7) days of confirmation. Deposits for custom or made to order items will not be refund but may be applied to future orders less of any cost related to the cancellation at Legend of ASIA's sole discretion. For orders canceled after seven (7) days, no credit will be given. Custom orders cannot be canceled. We reserve the right to cancel orders or terminate relationships in our sole discretion, in that case, your deposit will be refund within thirty (30) days.
Lamps are made to order, can not be canceled, returned or exchanged.
All shipping charges are FOB Legend of ASIA facility. After the products are delivered to or picked up by carrier, all loss and damage shall be claimed by Buyer to carrier. Freight charge will be added to your invoice before shipping. When your order is delivered, you should inspect all items for damage before you signing. You agree that the ship to address on your invoice / packing list is correct and valid shipping address. You are responsible for all shipping and return cost for any shipment that is refused or re-consigned, as well as forfeiture of your payment. Acceptance of shipment/packages by your agent, your employee or customer constitutes acceptance of everything stated on the bill of lading. Delivery of your order may be in multiple shipments depending on the availability of the products of your order. For freight cap orders, your freight rate will be same regardless of multiple shipments.
Damages on arrival are the responsibility of the carrier. You need to note on the bill of lading for any visible damage to the packages before signing for the shipment and release the delivery driver. Within five (5) business days of delivery, you must unpack and inspect all products for damage. If any damage is discovered, SAVE ALL ORIGINAL PACKING until the claim is closed. Email description and photos of damage to email@example.com. We will determine repair, replacement or credit to you. Once claim is accepted by Legend of ASIA, we will assist the claim process with carrier, but we are not responsible to the carrier's decision on claims.
We ship products that we display at our showroom and on our website. However, variations of color/shape/size are normal characters of the hand-made products. Our limited warranty is that you agree to fully examine the products upon delivery, to save all packing materials of damaged or defect products, and contact us to provide photos showing the damage or defect within five (5) business days of delivery. Once accepted / approved by Legend of ASIA, we will decide to repair or replace the product, or provide you a credit. Our liability does not cover

- Damage by shipping / moving
- Damage by misuse or modification
All sales are final. It is within our sole discretion to accept returns of products or not. Products returned without our advanced authorization will be refused. Returned items must be in original condition and good packaging, and you will be responsible for all cost of return shipping, including insurance. A 25% restocking fee will be applied to all approved returns that are not manufacture defect. Dropship fee will not be refund.
INTELLECTUAL PROPERTY RIGHTS:
All information concerning Legend of ASIA’s products, including photos, sales materials or product design is subject to trademark, service mark, trade dress, copyright and other intellectual property rights held by Made Goods and may not be used in any way without our verbal or written consent.
Any waiver by Legend of ASIA of, or delay in enforcing, a breach by Buyer of any provision of this Agreement shall not be deemed a waiver of future compliance with any of the provisions of this Agreement.
GOVERNING LAW & JURISDICTION:
The laws of the State of California shall govern the validity and interpretation of this Agreement. You hereby submit to the jurisdiction of any state or federal court located in Los Angeles, California, for the purpose of any suit, action or other proceeding arising out of any of the obligations under this Agreement.
CHANGES TO THIS AGREEMENT
